When you form a company, there's a state of incorporation. However, you may not be located in Delaware, as most people are not.
The question is how much activity do you have in your home state or other states?
Do you have employees in those states?
Do you have a brick and mortar operation?
Each state has their own law about who should be going on record as what's called a foreign corporation. Foreign doesn't mean outside the United States, it means outside your home state.
So if you form a corporation in your home state, many states require you to go on record with your home state or where you're doing business to indicate that you are qualified to do business in that state.
What it means is, if you have a lawsuit brought against your company in that state, there's an official office where they can serve papers. They can serve a summons at the office indicated on the qualification document.
Therefore you may want to check with your home state and see whether you need to qualify your company.
