A non-solicitation clause is a restrictive covenant, and what it does is it restricts the behavior of the person that's agreeing to the terms of that clause. A non-solicitation really means that you're not going to solicit someone else's customers or their employees, and the context that it usually arises in, is let's say I hire an employee or I hire an independent contractor. I hire them to do sales for me. Now they're getting to know all my customers. They're developing a relationship with my customers, and I own the company. If they leave, I don't want them to be able to call up my customers and say, "Hey, I'm now working for company B instead company A. Please come over and use their services instead." I don't want them trying to take my employees that I've trained and start up a competitive business down the street. That's an example of when you would want to have a non-solicitation clause in an agreement with an employee or a contractor.
