As was stated in previous lecture videos courts have often found it necessary to imply certain unexpressed terms in contracts, in order to give them "business efficacy," i.e. to make them workable. The courts do not have an unfettered power to intervene in contracts and impose terms arbitrarily. Their power to imply terms is only exercisable within certain guidclines or rules. This would be discussed extensively during the course of the lecture.
